AGREEMENT FOR INDEPENDENT CONTRACTOR SERVICES

 

This agreement is made this ___ day of ________________, 2007 between TYSA (hereinafter “client”), having an address at P.O. Box 701 (1769-B Carnegie) Turlock, CA 95381 and ____________________________________ an individual (hereinafter “contractor”), and independent contractor.

1.       TERM OF CONTRACT This agreement is effective on the date set forth above and shall continue in effect until the services provided for herein have been preformed unless terminated by the failure of a party to perform. Provided, however, that the term shall not exceed one year.

 

2.       CONTRACTOR’S SERVICES Contractor agrees to perform the services specified in the “Description of Services and Compensation” attached to this agreement and incorporated herein by reference.

 

3.       METHOD OF PREFORMING SEERVICES Contractor shall determine the method, details and means of performing the services provided for herein.

 

4.       EQUIPMENT Contractor shall arrange for the provision of all equipment required to perform the services provided herein.

 

5.       EMPLOYMENT OF ASSISTANTS contractor may at contractor’s own expense, employ such assistants as contractor deems necessary to perform the services required of Contractor by this agreement. Client may not control, direct, or supervise Contractor’s assistants or employees in the performance of those services.

 

6.       INDEPENDENT CONTRACTOR No relationship of employer and employee is created by this Agreement, it being understood that Contractor will act thereunder as an independent contractor, and that contractor shall have no claim under this agreement of otherwise against Client for Social Security. Worker Compensation, Disability, Unemployment insurance benefits, or employee benefits of any kind.

 

7.       INDEMNITY Contractor agrees to hold harmless and indemnity client for any and all claims arising from any negligent acts committed by contractor or contractors employees or agents during the performance of services under this Agreement. Contractor agrees to provide Worker’s Compensation insurance for Contractor’s employees and agents. Contractor agrees to hold harmless and indemnity client for any and all claims arising out of any injury, disability, or death of any Contractor’s employees or agents.

 

8.       COMPENSATION In consideration for the services to be preformed by Contractor client agrees to pay Contractor the amount specified in the “Description of services and Compensation” attached to this agreement and incorporated herein by reference.

 

9.       ASSIGNMENT Neither this agreement nor any duties or obligations under this Agreement may be assigned by either party without the prior written consent of the party.

 

10.    ENTIRE AGREEMENT This agreement constitutes the entire agreement of the parties, It may not be modified except by a writing signed by the parties.

 

11.    PARTIAL INVALIDITY The unenforceability, invalidity, or illegally of any provision of this Agreement shall not render the other provisions unenforceable, invalid, or illegal.

 

12.    ATTONEY’S FEES In a legal or equitable action brought by either party to this agreement to enforce its terms, the prevailing party shall be entitled to all costs incurred in connection with such action, including reasonable attorney’s fees.

 

13.    GOVERNING LAW This Agreement shall be governed by and constructed in accordance with the laws of the Sate of California.

DESCRIPTION OF SERVICES & COMPENSATION

 

For Period August 1, 2007 to July 31, 2008

 

DESCRIPTION OF SERVICES

             Referee, as assigned by Turlock Youth Soccer Association refereeing coordinator/assignor.

                         

 

·          All games will follow the laws of the game with CYSA modifications for youth (e.g., size of ball, goals, length of halves; and unlimited substitution)

·          The referee dress, conduct and appearance is very important. Hats, sunglasses, improperly worn uniforms (e.g., jersey not tuck, socks not pulled up, public display of affection, ect.) are not permitted. Thermal clothing may be worn underneath the jersey. If at all possible jersey colors and sleeve length should match. If you have alternate colored jerseys, please bring them. The center referee must wear a jersey color that does not conflict with either teams’ jersey color.

·          Arrive no less than one half hour before your first assigned game.

·          All information necessary (this does not include equipment) for you to perform your job as a referee will be provided at the referee tent daily.

 

DESCRIPTION OF COMPENSATION: (Subject to Change)

·         As directed and approved by the TYSA board or tournament directors.

 

 

This contract is in force only for matches assigned under Turlock Youth Soccer. Matches by others, (ie. State cup, Association cup, etc….), are governed by their respective league or association and not Turlock Youth Soccer, therefore the contractor is contracting outside this contract and Turlock Youth Soccer.
